Metro Transit Public Wireless Internet (Wi-Fi) Access Terms of Use Agreement

Overview
Metro Transit (“Metro”), the public transit enterprise of the Bi-State Development Agency of the Missouri-Illinois Metropolitan District (“BSD”), has or will equip select MetroBuses, MetroLink trains, and Call‑A‑Ride vans (termed “Location(s)”) with free public wireless Internet access (“Wi-Fi”). This service will be available to and is intended for Metro customers ages 18 and over with Wi-Fi enabled devices such as laptop computer, smartphone, or other mobile wireless device (termed “Access Device”). Transit vehicles equipped with Wi-Fi will be identified by signs on each vehicle.
By using this public Wi-Fi service, you are agreeing to and will be bound by the terms, conditions, and policies set forth in this Terms of Use Agreement (termed “Agreement.” This Agreement is a contract between you, Metro, and Metro’s wireless carrier provider (termed “the Provider”), which is providing you access to and use of Metro’s wireless Internet access services (the “Services”). When you access Metro’s Services, you acknowledge that you have read, understand, and agree to be bound by this Agreement. This Agreement applies to any electronic transmission sent, received, posted, accessed, or stored via any of Metro and the Provider’s networks. The effective date of this Agreement is the date on which you access Metro’s Services. This Agreement is subject to Metro’s unilateral modification at any time. By continuing to use the Services after any such modifications, you accept and agree to any and all such modifications.

Definitions
Aggregate/Demographic Data or Aggregate/Demographic Information: Aggregate/ Demographic Data or Aggregate/Demographic Information is statistical information that is derived from collective data that relates to a group or category of persons without any specific associations or linkages to PII. This Data reflects the characteristics of large groups of anonymous people.
Personally Identifiable Information (PII): PII identifies or describes a person or can be directly linked to a specific individual. Examples of PII include, but are not limited to, a person’s name, mailing address, business name, alternate contact information (if given), e-mail address, and telephone number.
Wireless Fidelity (Wi-Fi): a facility allowing computers, smartphones, or other devices to connect to the Internet or communicate with one another wirelessly within a particular area.
Who is affected: All Metro customers using these public services.
Metro Public Wi-Fi Services Being Offered
The Services are being offered for no charge as a convenience to Metro customers. The Services’ availability, reliability, uptime, and speed are not guaranteed by Metro or the Provider. Metro and the Provider are not able to provide technical assistance to you and cannot guarantee that you will be able to make a wireless connection at any given time. If you need assistance, contact the manufacturer of your Access Device or your access service provider. Please do not ask Metro vehicle operators for assistance with your wireless connection. Metro and the Provider are not responsible for any changes you make to your Access Device’s settings.
Metro encourages all users to adhere to good device and Internet security practices. You agree to release and hold harmless Metro, BSD, and the Provider and their respective affiliates, directors, board members, officers, team members, agents and representatives from any liability, damages, or expenses resulting from the use or misuse of the Services, connection of the public Wi-Fi network to other electronic devices, or data loss resulting from the use of the Services.
Unlawful Use of Public Wi-Fi Services
By using the Services, you agree that you will not use the Services for any unlawful purpose or in violation of any applicable law or regulation, including but not limited to unauthorized copying of copyright-protected material in any format or transmission of threatening, harassing, or defamatory materials. Transmitting, distributing, or storing any material that violates any applicable law is prohibited. You may not violate the security of the Services or the Provider’s Network in any way. Such violations may result in criminal or civil liability. Metro, BSD, and/or the Provider will cooperate with law enforcement where criminal or unauthorized activity is suspected.
You agree to be responsible for and to bear all risk and consequences for any transmission you send, receive, post, access, or store via the Services or the Provider’s networks, including the content of any communication.
By using, sending, receiving, posting, accessing, or storing any electronic transmission via the Services or the Provider’s Networks, you agree to cooperate in any such investigation. Metro, BSD, or the Provider may be required to disclose data related to the use of the Services in response to a subpoena, court order, or as otherwise required by law.
Public Wi-Fi Security Breach Liability Limits
You agree to release and hold harmless Metro, BSD, the Provider, and their respective affiliates, directors, board members, officers, team members, agents, and representatives from any liability from unauthorized security breaches. You further agree to release and hold harmless Metro, BSD, the Provider, and their respective affiliates, directors, board members, officers, team members, agents and representatives from any liability from any damage caused to hardware or software due to electric surges, security issues, or consequences caused by viruses or hacking. All wireless access users are individually responsible for maintaining up-to-date anti-virus, anti-malware, and firewall protection or other appropriate security measures on their Access Devices. You agree to release and hold Metro, BSD, and the Provider harmless from any loss, damage, claims, or liability arising from any illegal activity in which you may engage or any information, communications, or sites, you may access, send, or receive, whether appropriate or inappropriate, while using the Services.
You shall defend, indemnify, and hold Metro, BSD, the Provider, and their affiliates, officers, board members, directors, team members, representatives, and agents harmless from and against, and shall promptly reimburse them for any and all losses, claims, damages, settlements, costs, and liabilities of any nature whatsoever (including reasonable attorneys’ fees) to which any of them may become subject arising out of, based upon, as a result of, or in any way connected with, your use of the Services or any breach of this Agreement.
Metro, BSD, and the Provider make no expressed or implied warranty in connection with the public Wi-Fi services. All warranties of merchantability and fitness for a particular purpose are expressly excluded. Any content or information accessed by or provided to you through the Services or the Provider’s networks or website is provided “as is,” “with all faults,” and “as available.” Metro, BSD, and the Provider shall have no liability with respect to their obligations under this agreement for any damages that arise from the use of the services. This is a comprehensive limitation of liability that applies to all damages of any kind. For example, compensatory, special, direct, indirect, or consequential damages, loss of data, income or profit, loss of or damage to property, and claims of third parties, even if Metro, BSD, and the Provider have been advised of the possibility of such damages.
Except as expressly set forth herein, Metro will never contact customers and initiate any discussion that requires customers to reveal identity or PII. If a customer ever has any doubt about the authenticity of an e-mail regarding Metro’s public Wi-Fi services, the customer is strongly encouraged to notify Metro’s Customer Service Center as soon as possible, either by:

Public Wi-Fi Services Use for 911 Emergency Calls
The Services are not intended or designed for and cannot be used for making 911, E911, Wi-Fi based 911, or similar emergency calls. If you attempt to use the Services to make a 911, E911, Wi-Fi based 911, or emergency call, emergency service providers will not be able to identify or locate you or your telephone number and you may not be connected to the appropriate emergency services provider. Metro, BSD, and the Provider are not responsible for and disclaim any liability or damages related to or resulting from any attempt to use the Services for 911 calls, E911 calls, Wi-Fi based 911 calls, or similar emergency call purposes.
The Information We Collect
When accessing the Services, you may be asked to provide PII, such as your e-mail address, name, and street address. You may also provide PII by participating in Metro’s social networking sites found on Facebook, Twitter, LinkedIn, Instagram, SnapChat, Pinterest, or YouTube. Metro may collect this PII and may retain it and use it for demographic, statistical, and planning purposes, such as analyzing public Wi-Fi usage, transit usage, and determining routes. Metro may also use this PII to provide to you via e-mail or social networking site information related to Metro such as route updates, upcoming events, marketing, and promotions. You may opt out of receiving any such e-mails by following the “Opt Out” instructions provided through the Unsubscribe link in the e-mail.
Metro may be subject to the Missouri Open Records Law and may be required to disclose Metro records under certain circumstances. Except as required by law or court order, Metro will not sell, assign, or otherwise disclose your PII to third parties. PII does not include information that is not used to identify you including aggregate or anonymous information. In addition, you may choose to submit information directly to us. You may do so, for example, on our websites, in connection with a Metro product or service, or when you participate in an offer or promotion. The types of PII we may obtain are:
• Contact information (e.g., name, postal or e-mail address, and phone number);
• Username and password related to Metro sites and applications;
• Content you provide (such as photographs, articles, and comments);
• Mobile device unique identifier;
• Social Media identifier (such as Facebook ID);
• Geo-location data ; and
• Other PII (such as language preference, age, date of birth, gender)
Aggregate Data
Metro may also combine the PII provided by Metro public Wi-Fi users in a non-identifiable format with other information to create Aggregate Data that may be disclosed to third parties. Aggregate Data is used by Metro to improve Metro Services, for the marketing of transit service, and for planning purposes. Aggregate Data does not contain any information that could be used to contact or identify individual Metro public Wi-Fi users. For example, Metro may inform third parties regarding the number of Metro public Wi-Fi users within a particular zip code. Metro requires third parties with whom Aggregate Data is shared to agree that they will not attempt to make information personally identifiable, such as by combining it with other databases.
Third-Party Websites and Applications
WARNING: Metro or BSD websites may contain links to third-party websites operated by entities that are affiliated with Metro or BSD. These web links may be referenced within content, or placed beside the names or logos of the other entities. Metro and BSD do not disclose PII to these third-party websites; however, Metro and BSD are not responsible for the privacy practices of external websites, and your use of external websites through Metro’s public Wi-Fi Services are at your own risk. We strongly suggest that you review all privacy policies of external websites you may visit through Metro’s public Wi-Fi Services or from links on Metro or BSD websites before using or providing any information to such other websites.
In addition, Metro is not responsible for third-party applications (termed “Apps”) that you access through Metro’s Services, the use of Metro or BSD websites, or any features thereof. Before you download or access Apps, you should review the terms of use and privacy policies of the Apps to determine how they collect, use, and/or retain PII. Metro and BSD are not responsible for the terms of use or privacy policies of Apps, or the use of PII by such Apps.
Changes to the Agreement
If Metro decides to make any change to this Agreement, Metro will post the revised terms on Metro’s website MetroStLouis.org, along with the dates of all changes. Metro reserves the right to unilaterally modify this Agreement at any time, so Metro public Wi-Fi users are strongly encouraged to frequently review this document.
Enforcement
Metro and the Provider have the right, but are not obligated to, strictly enforce this Agreement. Metro and the Provider reserve the right to act immediately and without notice to restrict, suspend, or terminate the Services if we reasonably determine that your conduct may:
1. Expose Metro, BSD, or the Provider to sanctions, prosecution, civil action, or other liability;
2. Cause harm to or interfere with the integrity or normal operations of the Services or the Provider’s network;
3. Interfere with another customer’s use of the Services;
4. Violate any applicable law, rule or regulation; or
5. Violate any of the terms and conditions of this Agreement.
This Agreement constitutes the entire agreement between you, Metro, and the Provider with respect to the subject matter hereof. This Agreement shall be construed under the laws of the United States. For any legal action arising out of, or relating to this Agreement, you agree to the exclusive exercise of jurisdiction and venue over you by a court located in the City of St. Louis, Missouri.
